Sprout provides product development services including custom software development, SaaS development, mobile and web application development, UI/UX design, product management, QA testing, and market research tooling. Specific terms for any engagement are governed by a separate Statement of Work (SOW) or service agreement agreed between Sprout and the client.

Intellectual property ownership for client work is defined in the applicable SOW or service agreement. Unless otherwise agreed in writing, upon full payment Sprout assigns to the client all rights to the custom deliverables produced exclusively for that client.

Both parties agree to keep confidential any proprietary or sensitive information shared during an engagement. Sprout will not disclose client business information, source code, or trade secrets to third parties without written consent, except as required by law.

6. Payment Terms

Payment terms for project-based or retainer engagements are specified in the relevant SOW. Sprout reserves the right to pause or terminate work on any engagement where invoices remain unpaid beyond the agreed payment schedule.

7. Limitation of Liability

To the fullest extent permitted by law, Sprout shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or services. Our total liability for any claim arising from our services shall not exceed the amount paid by you to Sprout in the three months preceding the claim.
